Failure to pay may result in:

  • Removal of hosted services

4.4 Refunds

Payments made for completed work are non-refundable.

Refunds for incomplete work are considered at our discretion.

5. Client Responsibilities

Clients agree to:

  • Provide accurate project requirements

  • Supply content, images, and materials when required

  • Respond to requests in a timely manner

  • Ensure they have rights to all provided materials

Delays caused by the client may impact delivery timelines.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, ownership of the final delivered project transfers to the client unless otherwise agreed in writing.

6.2 Company Rights

Edmans Software Solutions retains ownership of:

  • Pre-existing code

  • Frameworks

  • Templates

  • Internal tools

  • Development methodologies

We reserve the right to showcase completed projects in our portfolio unless otherwise agreed.

7. SEO Services Disclaimer

SEO results cannot be guaranteed due to factors outside our control, including search engine algorithm changes and competitor activity.

We do not guarantee:

  • Specific rankings

  • Traffic levels

  • Sales conversions

  • Search engine placement

8. Website and Software Development

While we strive to deliver secure and reliable systems, clients acknowledge that no software or website can be guaranteed completely error-free or immune from security vulnerabilities.

Clients are responsible for maintaining:

  • Account credentials

  • Hosting access

  • Third-party subscriptions

  • Ongoing updates where applicable

9. Third-Party Services

Projects may involve third-party platforms or services including hosting providers, APIs, plugins, payment gateways, or external software.

We are not responsible for:

  • Third-party outages

  • Pricing changes

  • Service interruptions

  • Policy changes by external providers

10. Limitation of Liability

To the fullest extent permitted by law, Edmans Software Solutions shall not be liable for:

Our total liability shall not exceed the amount paid by the client for the relevant service.

12. Termination

Either party may terminate a project or agreement in writing.

Upon termination:

  • Outstanding invoices become immediately payable

  • Work completed up to termination remains billable

  • Access to services may be suspended

13. Support and Maintenance

Ongoing support, maintenance, or updates are only included where explicitly stated in a written agreement.

Additional work outside the agreed scope may incur extra charges.

14. Privacy

Any personal data collected will be handled in accordance with applicable data protection laws and our Privacy Policy.

15. Changes to Terms

We reserve the right to update these Terms and Conditions at any time.

Updated versions will be posted on our website with a revised effective date.

16. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the United Kingdom.
